Corporate/Securities Counsel for DC, NY, or Boston Office of Multi-Office Law Firm

Legalpeople is seeking a highly qualified Counsel to join the growing Corporate Practice Group in the Washington, DC or Boston, MA offices of a prominent multi-office, business law firm. The ideal candidate will have 7 to 10 years of experience representing emerging companies, mature private companies and public companies, and have worked on middle market transactions, as well as various types of investment funds, family offices, and their portfolio companies.
This position is a securities-focused, client-facing role. The firm seeks an attorney who will be able to lead ’34 Act compliance and ’33 Act securities work and have significant experience with a variety of securities and corporate governance matters, including deep experience with periodic reporting, proxy issues, registered offerings, Rule 144, private offering exemptions, Section 13 and Section 16 issues, exchange listing requirements, debt and equity financings, Rule 144A deals, and familiarity with executive compensation and ESG matters. Experience supporting the securities and transactional aspects of Chapter 11 (including Section 1145) and out-of-court workout matters will be considered a plus. Preferred candidates will possess, in addition to deep securities law experience, familiarity with broad-based general corporate transactional work, such as M&A, general corporate representation, joint ventures, technology transfers, venture capital deals, and/or commercial contracting.

QUALIFICATIONS
Candidates must have outstanding academic credentials, and excellent written and verbal communication skills. Comparable law firm experience preferred; in-house experience considered.
