EPC and Construction Transactions Attorney

We’re looking for an extremely well qualified complex commercial transactions attorney to serve as a consulting attorney to our blue-chip clients.
Candidate should have:
- At least 7 years of experience at a top law firm or in-house department with a focus on commercial transactions
- Experience with construction/Engineering Projects (primary) and related pre-Litigation (secondary)
- Experience drafting and negotiation complex commercial agreements, particularly in an industrial/heavy industry context
- Knowledge of legal issues in complex business transactions
- Experience counseling on applicable laws (including various state-specific rules and regulations) and risk mitigation strategies
- The ability to collaborate across functions and regions
- Experience or desire to work in renewable energy or oil & gas sectors
The responsibilities for this role will include:
- Drafting, reviewing and negotiating a wide variety of complex commercial agreements to meet business and legal needs, including energy savings performance contracts, power purchase agreements, and EPC agreements
- Drafting agreements related to renewable energy (solar, wind, biofuels)
- Managing cross-border projects in Latin America and Canada
- Managing a large volume and variety of transactions, negotiating standard and complex commercial agreements and balancing legal and business risks
- Drafting provisions and negotiating a variety of matters, as well as reviewing ITT submissions and contract strategy proposals.
- Assisting in the management of contract documentation flow, approvals, and reporting consistent with internal processes.
- Providing ongoing legal support for area of responsibility.
- Investigating, managing and proposing resolutions to customer disputes and other conflicts.
- Conducting training of personnel on various legal and compliance topics.
